Terms of Service

1. Acceptance of Terms

By accessing or using any Sonexis service, product, or dataset, you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services.

These Terms apply to all users of our services, including dataset licensees, enterprise clients, contributors, and website visitors. Sonexis reserves the right to update these Terms at any time, and continued use of our services constitutes acceptance of any such changes.

2. Use of Services

You agree to use Sonexis services only for lawful purposes and in a manner consistent with all applicable laws. Specifically, you agree not to:

• Use our datasets or services to develop systems intended to deceive, surveil, or harm individuals without their consent.
• Redistribute, resell, or sublicense any dataset or content without prior written authorization from Sonexis.
• Attempt to reverse-engineer, identify, or de-anonymize individual speakers from any dataset provided by Sonexis.
• Use our services in any way that could damage, disable, or impair the infrastructure or reputation of Sonexis.
• Misrepresent your identity, affiliation, or intended use when requesting access to datasets or services.

3. Intellectual Property

All datasets, schemas, documentation, software, and proprietary methodologies provided by Sonexis remain the exclusive intellectual property of Sonexis unless explicitly transferred in writing.

• Dataset Licenses: Dataset access is granted under a limited, non-exclusive, non-transferable license for the specific use case agreed upon at the time of purchase.
• Derived Works: Models trained on Sonexis datasets are owned by the licensee. However, the underlying training data remains the property of Sonexis.
• Trademarks: The Sonexis name, logo, and associated marks may not be used without explicit written permission.

4. Data Usage Rights

When you license a dataset from Sonexis, the following conditions govern your usage rights:

• Internal Use: Datasets may be used internally to train, fine-tune, or evaluate machine learning models within your organization.
• No Third-Party Transfer: You may not share, transfer, or provide access to licensed datasets to any third party without a separate written agreement with Sonexis.
• Permitted Outputs: Trained models and derived analytical outputs are yours to use and commercialize, subject to compliance with applicable laws.
• Attribution: Where publicly referencing datasets in research or publications, attribution to Sonexis is required.

5. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of our business relationship, including but not limited to pricing, technical specifications, and dataset schemas. This obligation survives the termination of any agreement for a period of three (3) years.

• Client Data: Any data you share with Sonexis for custom dataset scoping will be kept strictly confidential and used solely for fulfilling your requirements.
• Dataset Schemas: Proprietary file formats, annotation schemas, and collection methodologies are confidential and must not be disclosed to third parties.

6. Payment Terms

All dataset licenses and custom data collection projects are subject to the following payment terms:

• Payment is due within thirty (30) days of invoice issuance unless otherwise agreed in writing.
• Dataset access is provisioned upon receipt of cleared funds or execution of a signed agreement.
• Custom collection projects require a deposit of 50% upfront, with the remainder due upon delivery.
• All fees are non-refundable once dataset access has been granted or collection work has commenced.
• Late payments may incur interest at a rate of 1.5% per month on the outstanding balance.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Sonexis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or datasets, including but not limited to loss of profits, data, or business opportunities.

Our total cumulative liability for any claim arising under these Terms shall not exceed the total fees paid by you to Sonexis in the twelve (12) months preceding the claim.

Sonexis provides datasets "as-is" for their stated specifications and does not warrant that they will meet every downstream model performance requirement.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

For clients outside India, Sonexis will make reasonable efforts to resolve disputes through good-faith negotiation before pursuing formal legal proceedings.
