Terms of Service

1. Acceptance of Terms

By accessing or using any Sonexis service, product, or dataset, you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our services.

These Terms apply to dataset licensees, enterprise clients, and website visitors, including anyone submitting a form on this website.

The voice contribution relationship is not governed by these Terms. If you apply to contribute and are accepted, your participation, the consent for each recording, and the handling of your recordings are governed by the consent instrument presented and accepted inside Sonexis Collect. These Terms continue to apply to your use of this website itself.

We may update these Terms. The effective date at the top of this page states when the current version took effect, and each version supersedes prior website versions from its effective date.

Defined term. Licensor means the person identified as licensor in the applicable Dataset Licence, which may be NaraDatum, a supplier, or another authorised rights-holder.

2. Use of Services

You agree to use Sonexis services only for lawful purposes and in a manner consistent with all applicable laws. Specifically, you agree not to:

• Use our datasets or services to develop systems intended to deceive, surveil, or harm individuals without their consent.
• Redistribute, resell, or sublicense any dataset or content without prior written authorization from Sonexis.
• Attempt to reverse-engineer, identify, or de-anonymize individual speakers from any dataset provided by Sonexis.
• Use our services in any way that could damage, disable, or impair the infrastructure or reputation of Sonexis.
• Misrepresent your identity, affiliation, or intended use when requesting access to datasets or services.

3. Intellectual Property

NaraDatum materials. NaraDatum Technologies Private Limited's own schemas, annotation formats, collection and review methodology, documentation, software, and the Dataset Passport format are its intellectual property unless expressly transferred in writing. This does not extend to schemas, formats, methodology, documentation or software belonging to a supplier or any other third party, whether or not supplied alongside a dataset.

Dataset content. These Terms assert no ownership of dataset content. Ownership of, and the rights granted in, each dataset are those of the Licensor identified in the applicable Dataset Licence. NaraDatum grants no rights in any dataset beyond those it actually holds and is authorised to grant.

• Dataset Licences: Dataset access is granted under a limited, non-exclusive, non-transferable licence for the specific use case agreed at the time of purchase.
• Derived Works: Models and analytical outputs you produce are owned by you, subject to the terms of the applicable Dataset Licence, which may restrict their use, distribution, or commercialisation. Rights in the underlying data remain with the Licensor identified in that Licence.
• Trademarks: The Sonexis and NaraDatum names, logos, and associated marks may not be used without explicit written permission.

4. Data Usage Rights

These Terms govern your relationship with NaraDatum Technologies Private Limited. The rights you receive in any dataset are granted by the Licensor identified in the applicable Dataset Licence, and the following conditions apply unless that Licence provides otherwise:

• Internal Use: Datasets may be used internally to train, fine-tune, or evaluate machine learning models within your organisation.
• No Third-Party Transfer: You may not share, transfer, or provide access to licensed datasets to any third party without a separate written agreement.
• Permitted Outputs: Trained models and derived analytical outputs are yours to use and commercialise, subject to the applicable Dataset Licence and to applicable law.
• Attribution: Where publicly referencing a dataset in research or publications, attribution is as specified in the applicable Dataset Licence.

Order of precedence. Where these Terms and an applicable Dataset Licence or Statement of Work conflict on dataset-specific rights, restrictions, permitted use, or commercial terms, the Dataset Licence or Statement of Work prevails.

Flow-down. Restrictions and permitted-use limits imposed by an upstream rights-holder apply to you as though set out in these Terms. Warranties given by an upstream rights-holder are not incorporated into these Terms and are not given by NaraDatum; the warranty NaraDatum gives is stated in section 7.

5. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of our business relationship, including but not limited to pricing, technical specifications, and dataset schemas. This obligation survives the termination of any agreement for a period of three (3) years.

• Client Data: Any data you share with Sonexis for custom dataset scoping will be kept strictly confidential and used solely for fulfilling your requirements.
• Dataset Schemas: Proprietary file formats, annotation schemas, and collection methodologies are confidential and must not be disclosed to third parties.

6. Payment Terms

All dataset licenses and custom data collection projects are subject to the following payment terms:

• Payment is due within thirty (30) days of invoice issuance unless otherwise agreed in writing.
• Dataset access is provisioned upon receipt of cleared funds or execution of a signed agreement.
• Payment milestones for custom collection projects are set in the applicable Statement of Work.
• Refunds are governed by the warranty and remedy provisions in section 7.

7. Warranty, Remedies and Limitation of Liability

Warranty. NaraDatum warrants that each dataset delivered will conform in material respects to the applicable Dataset Licence or Statement of Work, the Dataset Passport supplied with it, the specifications expressly stated for it, and the limitations disclosed with it.

NaraDatum does not warrant that any dataset will improve the performance of any model, meet any downstream model performance requirement, or be fit for any particular purpose beyond the specifications expressly stated. Verification scope is stated per dataset and is not a warranty of title, fitness, or completeness.

Remedies. Where a delivered dataset does not conform, NaraDatum will correct it or re-deliver it. Where a material non-conformance cannot reasonably be cured, NaraDatum will refund the fee paid for the affected dataset.

Limitation of liability. To the maximum extent permitted by applicable law, NaraDatum shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or datasets, including loss of profits, data, or business opportunities.

Our total aggregate liability for all claims arising under these Terms shall not exceed the total fees paid by you to NaraDatum in the twelve (12) months preceding the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, and for fraud or fraudulent misrepresentation.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Subject to any dispute-resolution provision in an applicable Dataset Licence or Statement of Work, disputes arising under or in connection with these Terms are subject to the jurisdiction of the courts of competent jurisdiction connected to NaraDatum Technologies Private Limited's registered office in Rajasthan, India.
